1. Agreement to Terms
1A. Acceptance
By booking a session, scheduling services, subscribing to a program, receiving deliverables, or otherwise engaging Omaha Headshot Company (“OHC”), a Nebraska limited liability company, the client agrees to these Terms & Conditions.
1B. Scope
These Terms & Conditions apply to all services provided by OHC unless otherwise agreed to in writing. Certain programs or offerings may include additional terms outlined within this document.
2. Services & Scope of Work
2A. Photography Services
OHC provides professional photography services, including but not limited to individual headshots, group headshots, recurring company sessions, and event-based photography.
2B. Authority Sessions Subscription Service
Authority Sessions is a monthly subscription service in which the client participates in a recorded in-studio interview. OHC edits that footage into short-form video clips formatted for social media and delivers them by the end of each month. What’s included depends on the subscription tier:
- Foundation ($597/mo) — Studio session, editing, and clip delivery. Client manages their own posting.
- Authority ($997/mo) — Everything in Foundation, plus posting managed by OHC’s designated posting partner.
- Full Authority ($1,997/mo+) — Custom scope defined individually at the time of engagement.
- One-Time Engagement — Single session with clip delivery; no subscription. Scope confirmed in writing before the session.
Exact deliverable counts, posting schedules, and platform assignments for Authority Sessions are confirmed in writing at onboarding. Scope changes will be updated in writing.
2C. Creative Discretion
OHC retains creative discretion regarding lighting, posing, composition, image selection, retouching, clip selection, captioning, and final delivery, consistent with its established style and workflow. For Authority Sessions, clip selection is made on the basis of authority, clarity, and audience value. See Section 7 for veto terms.
3. Scheduling, Cancellations & Attendance
3A. Scheduling
Sessions are scheduled in advance and reserved exclusively for the client during the agreed-upon time. This applies to both photography sessions and Authority Sessions studio interviews.
3B. Rescheduling & Cancellations
Appointments may be rescheduled or canceled at least 24 hours prior to the scheduled session without penalty.
3C. Late Rescheduling
Requests to reschedule within 24 hours of the scheduled appointment time may result in adjustments to pricing or payment terms, including forfeiture of discounted rates where applicable.
3D. No-Shows
A no-show is defined as failure to arrive for a scheduled appointment without prior notice. No-show appointments may be invoiced in full.
3E. Rescheduling by OHC
In rare circumstances, OHC may need to reschedule an appointment due to illness, equipment issues, or other operational considerations. When this occurs, reasonable notice will be provided and the session will be rescheduled promptly.
4. Headshot Partner Program Terms
4A. Program Overview
The Headshot Partner Program is designed for companies that schedule headshots for multiple team members over time. The program supports ongoing coordination, preferred scheduling, and discounted pricing for qualifying organizations.
4B. Discounted Pricing Assumptions
Discounted Headshot Partner Program rates assume timely attendance, clear communication, and adherence to the scheduling guidelines outlined in Section 3.
4C. Late Changes & Discount Adjustments
Rescheduling within 24 hours or repeated scheduling disruptions may result in the affected session being billed at standard (non-discounted) pricing.
4D. Payment Structure
Depending on scheduling patterns, coordination needs, or billing preferences, Headshot Partner Program sessions may be scheduled using invoicing or prepayment.
5. Pricing, Payment & Invoicing
5A. Pricing
Pricing is based on the services provided and may vary depending on session type, volume, and program participation. Pricing is considered confirmed upon invoicing or prepayment.
5B. Invoicing Structure
Invoices may be issued per session, per event, or consolidated across multiple sessions for administrative efficiency. Invoicing structure may vary depending on scheduling patterns and service arrangements.
5C. Payment Terms
Unless otherwise stated in writing, standard payment terms are Net 30, with an option to prepay. OHC reserves the right to adjust payment terms, including requiring prepayment or payment upon receipt, when operationally necessary.
5D. Authority Sessions Billing
Authority Sessions subscriptions are billed monthly by ACH (bank transfer) on the same date each month. Payment is due before the session. One-Time Engagements may be paid by cash, ACH, or credit card. If a payment fails, OHC will notify the client and allow reasonable time to resolve it before pausing service. Sessions cannot be held for accounts with outstanding balances.
5E. Credit Card Processing Fee for Large Invoices
Clients may choose to pay invoices by credit card. For invoices with a total of $1,000 or more, a credit card processing fee of 3.25% of the invoice amount will be applied if the client elects to pay by credit card. This fee is intended to cover the cost of payment processing and will be shown as a separate line item on the invoice. Clients may avoid this processing fee by choosing to pay by ACH (bank transfer) or check. By agreeing to these Terms & Conditions and accepting an invoice, the client authorizes Omaha Headshot Company to apply this processing fee when paying by credit card for qualifying invoice amounts.
6. Late Payments & Fees
6A. Late Payments
Accounts with outstanding balances may be subject to late fees as permitted by law.
6B. Continued Service
If payment delays become recurring, OHC may adjust billing methods or payment terms to maintain continuity of service.
7. Deliverables, Content Ownership & Usage Rights
7A. Photography — Gallery Access & Retention
Online galleries are provided for image review and delivery. While OHC’s general practice is to keep galleries available long-term for accounts in good standing, gallery access is not guaranteed indefinitely and may be archived or removed at OHC’s discretion.
7B. Account Status
Gallery access and future scheduling may be paused if an account balance is not current.
7C. Archival Policy
OHC does not guarantee indefinite archival of images or galleries unless otherwise agreed in writing.
7D. Photography — Copyright Ownership
All photographs remain the copyrighted property of Omaha Headshot Company.
7E. Photography — Client Usage License
Upon full payment, the client is granted a perpetual, non-exclusive, royalty-free, worldwide license to use the delivered images for professional, editorial, marketing, advertising, internal, and external promotional purposes, in all media and formats now known or hereafter developed.
7F. Authority Sessions — Content Ownership
The client owns their footage. Everything said on camera belongs to the client. OHC retains a limited license to edit, format, caption, and deliver footage as clips for the duration of the subscription. This license ends when the subscription ends. OHC will never sell client content or share footage with third parties without explicit written consent. OHC may use anonymized, aggregated production data for internal purposes.
7G. Authority Sessions — Clip Selection and Vetoes
OHC selects clips on the basis of authority, clarity, and audience value. That editorial judgment is part of the service. Clients may request a replacement clip for the following reasons only:
- Factual inaccuracy in something said on camera
- Privacy concern — named individuals, sensitive stories, or information not intended to be shared
- Genuine embarrassment — something that could harm the client’s reputation or relationships
Preference for a different clip is not a valid replacement reason. If no suitable video replacement exists, a static image post may be substituted. Replacement requests must be submitted in writing within 7 days of delivery.
7H. OHC Promotional Use
OHC retains the right to use images and, with separate written permission, video clips for its own promotional purposes, including website content, social media, portfolios, and marketing materials, unless otherwise agreed in writing. Promotional use of Authority Sessions clips will always be a separate, explicit ask — never assumed.
8. Account Status & Continuity of Service
8A. Good Standing
Ongoing services, discounted programs, and priority scheduling are available to clients whose accounts are current.
8B. Operational Adjustments
To maintain continuity of service, OHC may adjust scheduling, payment methods, or delivery timelines as needed.
9. Authority Sessions — Cancellation
9A. No Long-Term Commitment
Authority Sessions subscriptions have no long-term contract. Clients may cancel at any time.
9B. Cancellation Notice
Cancellations must be submitted in writing to lane@omahaheadshots.com at least 15 days before the next billing date. Cancellations received fewer than 15 days before the next billing date take effect the following cycle. Clips already delivered are the client’s to keep.
9C. No Cancellation Fees
There are no cancellation fees or exit requirements. OHC does not issue refunds for completed sessions or delivered clips. If OHC fails to deliver on its end — session not held, clips not delivered — it will make it right.
10. Authority Sessions — Posting Management
10A. Posting Authorization
Posting on Authority and Full Authority tier accounts is handled by OHC’s designated posting partner. By subscribing to these tiers, the client authorizes OHC and its designated partner to post on their behalf on the platforms specified at onboarding.
10B. Revoking Access
Clients may revoke posting access at any time in writing. Revoking access does not cancel the subscription — it downgrades delivery to Foundation-equivalent for the remainder of that billing cycle.
10C. Platform Liability
OHC is not liable for third-party platform policy changes, account suspensions, or algorithmic outcomes beyond its control.
11. Limitation of Liability
11A. Liability Cap
OHC’s liability in connection with any service is limited to the amount the client paid in the month the issue arose. OHC is not liable for indirect, consequential, or speculative damages — including lost business, reputational harm, or outcomes tied to how content performs on social media.
11B. Content Accuracy
Clients are responsible for the accuracy of everything said on camera or delivered for use. OHC edits for clarity and format — it does not fact-check claims, verify statistics, or review content for legal compliance before delivery. Clients agree not to use OHC deliverables to make false claims, defame individuals, or violate applicable law.
11C. Social Media Results
Social media outcomes are not guaranteed. Authority Sessions provides content production and, where applicable, posting management. Performance depends on the client’s audience, platforms, and factors outside OHC’s control.
12. Changes to Terms
12A. Updates
OHC may update these Terms & Conditions periodically to reflect operational or business changes. For material changes, OHC will notify clients by email at least 15 days before they take effect.
12B. Applicability
The most current version of the Terms & Conditions applies to all future bookings and services. The version in effect at the time of subscription remains on file and available on request.
13. Governing Law
13A. Nebraska
These terms are governed by the laws of the State of Nebraska. Any disputes will be handled in Omaha, Nebraska.
